Service Agreement
This agreement ("Terms") between Stella Technology Partners ("Stella," "we," "us") and the client ("you," "your") is governed by Ontario law and constitutes our complete agreement.
Scope Definition
Services are delivered according to written Statements of Work (SOW) specifying:
- Detailed deliverables and timelines
- Technical specifications and requirements
- Performance metrics and acceptance criteria
- Resource allocation and responsibilities
Term and Termination
Either party may terminate with 30 days written notice. Upon termination:
- All outstanding fees become immediately due
- Client data is returned or destroyed per agreement
- Confidentiality obligations remain in effect
- Transition assistance provided if requested
Intellectual Property
Clear delineation of intellectual property rights is fundamental to our client relationships.
Client IP
- Pre-existing IP remains client property
- Client data and materials
- Project-specific customizations
- Derivative works from client IP

Liability & Indemnification
